Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Floges Software Solutions Pvt Ltd ("Floges," "we," "us," or "our") concerning your access to and use of the flogesoft.com website and our software development services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access our website or use our services.

Services

Floges provides custom software development services including but not limited to:

• Web application development
• Mobile application development
• Enterprise platform engineering
• AI systems and intelligent automation
• Cloud infrastructure and DevOps
• Software consulting and technical advisory

Specific terms for each project will be outlined in a separate Statement of Work (SOW) or Service Agreement.

Intellectual Property Rights

Our Property

The website and its original content, features, and functionality are owned by Floges and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Work Product

Unless otherwise specified in a written agreement, upon full payment, clients receive full ownership of custom code developed specifically for their project. We retain ownership of:

• Pre-existing intellectual property and tools
• General knowledge and methodologies
• Reusable components and frameworks developed by us

User Representations

By using our services, you represent and warrant that:

• You have the legal capacity to enter into these Terms
• You will not use our services for any illegal purpose
• All information you provide is accurate and current
• You have authority to bind your organization (if applicable)
• You will comply with all applicable laws and regulations

Payment Terms

Unless otherwise agreed in writing:

• All fees are quoted in USD and are non-refundable
• Payment schedules will be defined in the SOW
• Invoices are due within 15 days of receipt
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment

Project Timeline and Deliverables

Project timelines are estimates based on the agreed scope. We commit to reasonable efforts to meet deadlines, but timelines may be affected by:

• Scope changes or additions
• Delayed client feedback or approvals
• Unavailability of required third-party services
• Force majeure events

Confidentiality

We respect the confidentiality of client information and will:

• Keep all client information confidential
• Use information only for the purpose of providing services
• Not disclose client information without consent
• Sign separate NDAs when required

Warranties and Disclaimers

Limited Warranty

We warrant that services will be performed in a professional and workmanlike manner. Software delivered will substantially conform to agreed specifications during the warranty period (typically 30 days post-launch).

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOGES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the fees paid for the specific service

Indemnification

You agree to indemnify and hold Floges harmless from any claims, damages, losses, liabilities, and expenses arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any third-party rights
• Content or data you provide to us

Termination

Either party may terminate a project engagement:

• For convenience with 30 days written notice
• Immediately for material breach
• Upon completion of services

Upon termination, client shall pay for all work completed up to the termination date.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala, India.

Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for at least 30 days.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or website notice. Continued use of our services after changes constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any SOW or Service Agreement, constitute the entire agreement between you and Floges regarding the use of our services.
